VENDOR TERMS & CONDITIONS / VENDOR AGREEMENT

This Vendor Agreement (“Agreement”) is entered into by and between DM Finds & Creations (“Company”) and the vendor (“Vendor,” “Seller,” or “You”) participating in the marketplace platform.

By registering as a vendor, you agree to comply with these Terms.

1. PLATFORM RELATIONSHIP

DM Finds & Creations operates a multi-vendor marketplace platform.

  • Vendors are independent sellers
  • The Company does not own or manufacture most products
  • The Company acts as a facilitator of transactions only

👉 This agreement defines your right to sell on the platform and your obligations.

2. VENDOR ELIGIBILITY & ACCOUNT

To sell on the platform, you must:

  • Be at least 18 years old
  • Provide accurate business and contact information
  • Maintain updated account details
  • Comply with applicable laws

We reserve the right to:

  • Approve or deny vendor applications
  • Suspend or terminate accounts at our discretion

3. PRODUCT LISTINGS

Vendors are responsible for:

  • Accurate product descriptions
  • High-quality images
  • Pricing accuracy
  • Legal compliance (no prohibited items)

Prohibited Activities:

  • False or misleading listings
  • Counterfeit or illegal products
  • Unauthorized use of trademarks

4. PRICING, FEES, & COMMISSIONS

  • Vendors set their own product prices unless otherwise specified
  • The Company may charge:
    • Commission fees
    • Transaction fees
    • Other platform-related fees

Payment Terms

  • Payments are processed via third-party providers
  • Payout timing and structure are defined by platform systems

5. ORDER FULFILLMENT & SHIPPING

Vendors are solely responsible for:

  • Processing orders
  • Shipping products
  • Providing tracking information
  • Handling lost or damaged items

Requirements:

  • Ship within stated processing times
  • Maintain reliable fulfillment
  • Communicate delays

6. CUSTOMER SERVICE & COMMUNICATION

Vendors may communicate directly with customers through:

  • Messaging
  • Chat features
  • Product inquiries

Vendor Responsibilities:

  • Respond promptly and professionally
  • Provide accurate information
  • Resolve issues in good faith

7. RETURNS, REFUNDS & DISPUTES

Vendors must:

  • Clearly define their return/refund policy
  • Honor stated policies
  • Respond to customer disputes

Platform Role:

  • DM Finds & Creations may intervene but is not obligated to resolve disputes
  • The Company may issue refunds or adjustments at its discretion (if required)

8. PAYMENT PROCESSING

Payments are handled through:

  • Stripe
  • Affirm, Klarna, Afterpay
  • Cash App Pay
  • Apple Pay, Google Pay
  • Amazon Pay

Vendor Acknowledgment:

  • You agree to comply with all payment processor requirements
  • You understand payment providers may:
    • Hold funds
    • Reverse transactions
    • Conduct fraud reviews

9. TAXES

Vendors are responsible for:

  • Reporting income
  • Paying applicable taxes
  • Complying with tax laws

The Company is not responsible for vendor tax obligations.

10. DATA PROTECTION & PRIVACY

Vendors may access limited customer data for order fulfillment.

Vendors MUST:

  • Use data only for fulfilling orders
  • Protect customer information
  • Not share or sell customer data
  • Comply with privacy laws

11. INTELLECTUAL PROPERTY

  • Vendors retain ownership of their content
  • Vendors grant the Company a license to:
    • Display products
    • Market listings
    • Promote the marketplace

12. PLATFORM RULES & PROHIBITED CONDUCT

Vendors may NOT:

  • Circumvent the platform (no off-platform sales from platform leads)
  • Misuse customer data
  • Engage in fraud
  • Violate applicable laws

13. SUSPENSION & TERMINATION

We may suspend or terminate your account if:

  • You violate this Agreement
  • Fraud or misconduct is suspected
  • Customer complaints indicate unacceptable performance

Effects of Termination:

  • Listings may be removed
  • Payments may be held for investigation
  • Access to the platform is revoked

14. LIMITATION OF LIABILITY

  • The Company is not responsible for:
    • Vendor product quality
    • Vendor shipping delays
    • Vendor conduct
  • Vendors agree to indemnify the Company for:
    • Claims arising from vendor products or actions

15. INDEMNIFICATION

Vendors agree to protect and hold harmless DM Finds & Creations from:

  • Legal claims
  • Customer disputes
  • Product-related issues

16. GOVERNING LAW

This Agreement is governed by the laws of the State of Texas.

17. MODIFICATIONS

We may update this Agreement at any time.
Continued use of the platform constitutes acceptance.

18. ACCEPTANCE

By registering as a vendor, you:

✅ Agree to be legally bound by it
✅ Confirm you have authority to enter into this Agreement
